1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of the LNC Blueprint™ platform and related services (“Services”). LNC Blueprint™ is owned and operated by SELNA Consulting, LLC (doing business as “LNC Blueprint™”) (“Company,” “we,” “us,” “our”).
By creating an account, subscribing, or otherwise using the Services, you agree to these Terms and, if applicable, the LNC Blueprint™ Business Associate Agreement (BAA), which is incorporated by reference. If you do not agree, do not use our Services.
2. Description of Services
LNC Blueprint™ provides a HIPAA-enabled business management and automation platform for Legal Nurse Consultants (LNCs), which may include:
• Client intake automation
• Legal CRM
• Marketing automation
• Timekeeping and billing
• Document management
• Calendar and appointment booking
• Reporting and analytics
• Email, SMS, and phone communications integrations
• HIPAA-compliant client portal (when used under an executed BAA)
We may modify or discontinue any feature at any time.
3. Eligibility & Account Security
By using our services, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the services on behalf of an organization, you represent that you have the authority to bind that entity to these Terms.
4. Account Registration & Security
To use certain features of the Services, you must register for an account. You agree to:
• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your login credentials.
• Promptly notify us of any unauthorized use of your account or breach of security.
• Accept responsibility for all activities that occur under your account.
We are not responsible for losses arising from unauthorized account access where you failed to safeguard credentials. You may not share your account with others unless explicitly authorized.
5. Fees, Billing & Taxes
• Subscription fees are billed in advance on a recurring basis (monthly or annually) until canceled.
• Prices are exclusive of taxes; you are responsible for applicable taxes.
• We may adjust fees with reasonable prior notice.
6. Refunds & Cancellations
• All sales are final due to immediate access to digital products and services.
• Refunds may be issued only for duplicate purchases or verified technical access issues at our sole discretion.
• 30-day written notice is required to cancel.
• Access remains active until the end of the billing cycle; no partial refunds for unused time.
7. Automatic Renewal – Florida Compliance
If your subscription has an initial term of 12 months or more and renews for more than 1 month:
• We will present clear and conspicuous auto-renewal terms at sign-up.
• We will send a renewal notice between 30 and 60 days before renewal with price, date, and cancellation instructions.
• Cancellation will be as easy as sign-up (online cancellation if enrolled online).
8. Overage Charges
All plans include a base allotment of email, phone, and SMS usage. Overages are billed at 1.8× the plan’s base per-unit rate for any usage beyond the included limits. You are responsible for monitoring your usage.
9. Failed Payments & Suspension
If a payment fails:
• You will be notified immediately.
• If unpaid after 48 hours, your account will be suspended and all access (including data) disabled.
• Access is reinstated automatically when payment clears.
10. HIPAA, PHI & Business Associate Agreement (BAA)
10.1 BAA Requirement
If you will store, process, or transmit Protected Health Information (PHI) through the LNC Blueprint™ platform, you must agree to our Business Associate Agreement (BAA) during sign-up. By checking the acceptance box, you acknowledge that the BAA is fully executed and binding.
10.2 Our Responsibilities
When the BAA is accepted, we will:
• Use/disclose PHI only as permitted by HIPAA or the BAA.
• Implement safeguards, including encryption in transit and at rest.
• Require subcontractors with PHI access to sign equivalent HIPAA agreements.
• Report any Breach within five (5) business days of discovery.
10.3 Your Responsibilities
• Limit PHI storage to HIPAA-enabled areas of the platform.
• Restrict access to authorized personnel only.
• Maintain HIPAA compliance for all PHI outside of LNC Blueprint™.
• Train your staff and secure devices used to access PHI.
We are not liable for HIPAA violations resulting from your actions outside the platform.
11. Acceptable Use
You will not use the Services to: violate laws; upload malicious code; disrupt systems; spam; infringe rights; or send marketing messages without required consent. For SMS/phone features, you must comply with TCPA/FCC rules and honor opt-outs.
12. Third-Party Services
Some features rely on third-party vendors (e.g., Twilio, email, hosting). We are not liable for outages or changes in these services.
13. Intellectual Property & Confidentiality
We own all platform content and trademarks. You may not copy or modify them without permission. Each party agrees to protect the other’s confidential information.
14. Disclaimers & Limitation of Liability
Services are provided “as is.” We disclaim all warranties and limit our liability to the amount you paid in the last 12 months. We are not liable for indirect or consequential damages.
15. Termination
We may suspend or terminate your account for nonpayment, violation of these Terms, or other reasons. Upon termination, your license to use the Services ends immediately.
16. Governing Law
These Terms are governed by Florida law and applicable U.S. federal law.
17. Changes to Terms
We may update these Terms. Continued use constitutes acceptance of updated Terms.
